If you do not agree, please do not use the website or submit materials.

2. No Guarantee of Results

IMPORTANT: Kingsley Rights Agency does not guarantee publication, acquisition, representation, investment, licensing, distribution, adaptation, or any specific commercial result.

Submitting a project or engaging our services does not guarantee:
● A publishing contract;
● A book deal;
● An advance;
● A film deal;
● A television deal;
● A streaming deal;
● A producer attachment;
● A studio acquisition;
● A distribution agreement;
● International publication;
● Licensing;
● Sales;
● Revenue;
● Commercial success.

Publishing and entertainment decisions are ultimately made by independent publishers, producers, studios, distributors, platforms, and other third parties.

The agency expressly states that no legitimate representative can guarantee that a publisher, studio, producer, or distributor will acquire a property.

3. Submission Does Not Equal Representation

Submitting a manuscript, proposal, screenplay, or other property does not automatically mean that Kingsley Rights Agency agrees to represent you.

We may:
● Accept a project for consideration;
● Request additional information;
● Decline the project;
● Request revisions;
● Invite further discussions;
● Offer representation under a separate agreement.

Representation becomes effective only when confirmed through an appropriate written agreement.

4. Evaluation and Selection

Kingsley Rights Agency is selective about the projects it considers.

Projects may be evaluated based on factors including:
● Story quality;
● Distinctive voice;
● Premise;
● Audience;
● Commercial potential;
● Market positioning;
● Adaptation potential;
● Long-term intellectual-property potential.

These factors reflect the agency's stated evaluation philosophy.

5. Submission Materials

Depending on the project, requested materials may include:
● Query Letter
● Book Proposal
● Synopsis
● Logline
● Author Biography
● Pitch Deck
● Comparable Titles Analysis
● Market Research
● Audience Profile
● Sales Information
● Editorial Assessment
● Adaptation Overview
● Screenplay or Treatment

Not every project requires every material.

6. Accuracy of Information

You agree that information you provide to Kingsley Rights Agency is accurate to the best of your knowledge.

You must not knowingly provide:
● False sales information;
● False publication history;
● False credentials;
● Fabricated reviews;
● Misleading rights information;
● Material that infringes another person's rights;
● Unauthorized copyrighted material.

You are responsible for the accuracy and legality of the materials you submit.

7. Intellectual Property

Unless otherwise agreed in writing:
● You retain ownership of your intellectual property;
● Kingsley Rights Agency does not acquire copyright merely because you submit material;
● You retain responsibility for establishing that you have the legal right to submit your work.

Where a separate representation, license, option, publishing, or rights agreement exists, that agreement will control the applicable rights.

8. Rights and Representation

Depending on the written agreement between the parties, representation may involve rights such as:
● Publishing rights;
● International rights;
● Translation rights;
● Audiobook rights;
● Film rights;
● Television rights;
● Streaming rights;
● Licensing rights;
● Merchandising rights;
● Adaptation rights.

The agency identifies these as potential components of the broader rights landscape surrounding a literary property.

No particular right is granted, assigned, licensed, or represented unless expressly stated in a written agreement.

9. Industry Introductions

Where appropriate, Kingsley Rights Agency may present selected properties to relevant industry professionals.

An introduction or submission does not constitute an endorsement, guarantee, commitment to purchase, or promise of a transaction by the recipient.

10. Fees and Payments

Where Kingsley Rights Agency provides services subject to a fee, the applicable fee, payment schedule, scope of work, and deliverables will be stated in the applicable invoice, proposal, service agreement, or other written agreement.

Unless otherwise agreed in writing:
● Fees must be paid according to the stated payment schedule;
● Work may be suspended for overdue payments;
● Third-party expenses may be separately chargeable where disclosed;
● Payment of a fee does not guarantee a publishing, film, television, streaming, licensing, or other deal.

11. Professional Materials

Where the agency assists with professional materials, such as pitch decks, proposals, adaptation materials, or other presentation documents, the purpose is to improve the professional presentation and positioning of the property.

The agency cannot guarantee that any third party will accept, approve, acquire, publish, finance, produce, distribute, or license the project.

12. Confidentiality

Kingsley Rights Agency values confidentiality and professional discretion concerning authors, manuscripts, negotiations, and business information.

Confidentiality obligations may also be governed by separate written agreements.

Although we seek to keep website information accurate, we do not guarantee that all information is complete, current, or error-free.

14. Third-Party Decisions

Kingsley Rights Agency does not control their:
● Acquisition decisions;

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Termination

Either party may terminate a service relationship where permitted by the applicable written agreement.

Termination does not automatically eliminate payment obligations already incurred or other obligations that survive termination.

17. Governing Law

These Terms shall be governed by the laws of [Insert State/Country/Jurisdiction], without regard to conflict-of-law principles.

Any disputes shall be handled in the courts or dispute-resolution forum specified by the applicable agreement or, where none exists, the appropriate jurisdiction under applicable law.

18. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will be posted on the website with a revised effective date.
